Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ERPOps AI Copilot. By creating an account or using the Services, you agree to these Terms on behalf of yourself and the organization you represent.
1. Acceptance of terms
If you do not agree to these Terms, do not access or use the Services. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Definitions
- Service / Services: the ERPOps AI Copilot platform and related offerings.
- Customer: the organization subscribing to the Services.
- Authorized Users: individuals authorized by the Customer to use the Services.
- Customer Data: data submitted to the Services by the Customer or its Authorized Users.
3. Accounts & access
Customers are responsible for safeguarding credentials and for all activity that occurs under their accounts and those of their Authorized Users.
4. Subscriptions, plans & billing
Paid plans are billed monthly or annually in advance and renew automatically until cancelled. Fees are exclusive of taxes. The Professional plan includes a 14-day free trial; cancel before the trial ends to avoid charges.
5. Free tier
The Free plan is provided as-is, subject to usage limits and feature constraints which may change with reasonable notice. The Free plan is not eligible for SLAs or priority support.
6. Acceptable use
- No reverse engineering, decompiling, or attempting to derive source code.
- No unlawful, infringing, or harmful use of the Services.
- No interference with the Services or excessive load that disrupts other customers.
- No resale or sublicensing without written permission.
7. Customer Data & ownership
Customer retains all rights to Customer Data. Customer grants ERPOps a limited, non-exclusive license to process Customer Data solely to provide and improve the Services.
8. Confidentiality
Each party agrees to protect the other’s confidential information using at least the same degree of care it uses for its own confidential information of similar importance.
9. Third-party ERPs
The Services interoperate with third-party ERP systems (e.g. PeopleSoft, Workday, Oracle, SAP). Customer is responsible for compliance with the license terms of those systems and for granting ERPOps the necessary access.
10. Service availability
We target high availability for paid plans. Specific uptime commitments and remedies are provided to Enterprise customers under a separate Service Level Agreement.
11. Term & termination
Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, Customer’s right to access the Services ends and Customer Data is available for export for 30 days before deletion.
12. Warranties & disclaimers
Except as expressly stated, the Services are provided “as is” without warranties of any kind, whether express, implied, statutory, or otherwise.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Each party’s aggregate liability is capped at the fees paid by Customer to ERPOps in the 12 months preceding the event giving rise to the claim.
14. Indemnification
Each party will indemnify the other for third-party claims arising from its breach of these Terms or violation of law, subject to standard procedures (prompt notice, sole control of defense, reasonable cooperation).
15. Governing law & dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, except where prohibited by law.
16. Changes to terms
We may update these Terms from time to time. Material changes will be communicated via the Services or by email to account administrators and will take effect on the date stated.
